The Management Board of Photon Energy a.s. announces that on 19 June 2012 it signed the following agreements related to the restructuring of Photon Energy Group:

- Photon Energy a.s. contributed subordinated loans against project companies into the equity of Photon Energy Investments CZ N.V., (hereinafter “Photon Energy Investments CZ") reg. No. 51447703, seated Barbara Strozzilaan 201, 1083 HN Amsterdam, the Netherlands, in the total amount of CZK 428.3 million;

- Photon Energy a.s. sold 46,000 shares of Photon Energy Investments CZ, 100% of its registered capital, to Photon Energy Investments SK N.V. (hereinafter “Photon Energy Investments SK") which is fully owned by Photon Energy N.V., a controlling shareholder of Photon Energy a.s., for a total consideration of CZK 510.6 million; the valuation of the company was determined by an external expert in compliance with Section 196a (3) of the Commercial Code.

The above transactions were executed in relation to the restructuring processes of Photon Energy Group and on the basis of respective resolution of extraordinary shareholding meeting held on 30 April 2012.

Legal basis: § 3 ust. 2 point no.2 of the Appendix 3 to Regulations of the Alternative Trading System - "Current and Periodical Information in the Alternative Trading System".

Zarząd Photon Energy a.s. informuje, że dnia 19 czerwca 2012 r. podpisał następujące umowy związane z przekształceniem Grupy Photon Energy:

- Photon Energy a.s. wniósł pożyczki podporządkowane udzielone spółkom projektowym do kapitałów własnych Photon Energy Investments CZ N.V., (dalej jako “Photon Energy Investments CZ") nr rej. 51447703, z siedzibą w Barbara Strozzilaan 201, 1083 HN Amsterdam, Holandia, o całkowitej wartości CZK 428.3 mln;

- Photon Energy a.s. sprzedał 46,000 akcji wyemitowanych przez Photon Energy Investments CZ, stanowiących łącznie 100% zarejestrowanego kapitału, spółce Photon Energy Investments SK N.V. (dalej jako “Photon Energy Investments SK") która należy w 100% do Photon Energy N.V., akcjonariusza kontrolującego Emitenta, za całkowitą kwotę CZK 510.6 million; wycena spółki została sporządzona przez zewnętrznego eksperta zgodnie z artykułem 196a (3) kodeksu handlowego.

Powyższe transakcje zostały wykonane w związku z prowadzonym procesem przekształcenia Grupy i na podstawie odpowiednich decyzji walnego zgromadzenia z dnia 30 kwietnia 2012.

Podstawa prawna: § 3 ust. 2 pkt 2 Załącznika Nr 3 do Regulaminu Alternatywnego Systemu Obrotu - "Informacje bieżące i okresowe przekazywane w alternatywnym systemie obrotu na rynku NewConnect".
